Platform: GuardIt
1. Acceptance of Terms
By creating an account or using the GuardIt Platform (“Platform”), you agree to these Terms of Service (“Terms”). If you do not agree, you may not access or use the Platform. These Terms form a legally binding agreement between you and CanTrust Security Ltd.
2. Nature of the Platform
GuardIt is a technology platform that facilitates security guard onboarding, identity verification, shift management, operational tracking, client bookings, and payment processing. Guards providing services via GuardIt do so under the agency licence of CanTrust Security Ltd.
Nothing in these Terms creates an employment relationship between GuardIt and any guard, nor does it create a partnership or joint venture between users and CanTrust.
3. Independent Contractor Structure
Guards engaged through the Platform act as independent contractors providing services under the agency licence of CanTrust Security Ltd.
CanTrust retains operational responsibility for ensuring compliance with applicable laws and regulations governing licensed security services.
Guards are responsible for:

Maintaining valid licensing required by law

Completing identity verification

Performing services professionally and lawfully
-
Complying with these Terms
4. Eligibility
Users must:

Be at least 18 years old

Hold valid credentials required for their role

Provide accurate and truthful information
CanTrust reserves the right to refuse or restrict access at its discretion.
5. Identity Verification & Compliance
Users may be required to:

Submit government-issued identification
-
Complete biometric verification
-
Undergo re-authentication at defined triggers
-
Provide banking details for payouts
Providing false information may result in suspension, termination, or reporting to appropriate authorities.
6. Uniform & Identification Compliance
Guards must comply with applicable regulatory uniform and identification requirements, including display of required markings and licence identifiers.
Failure to comply may affect eligibility to accept assignments through the Platform.
7. Shift Acceptance & Conduct
By accepting a shift, a guard agrees to:

Attend on time

Perform services professionally and lawfully

Follow applicable regulations and site-specific instructions

Maintain valid licensing
Repeated cancellations, no-shows, misconduct, or regulatory violations may result in restrictions, suspension, or removal from the Platform.
8. Client Responsibilities
Clients agree to:

Provide accurate booking details

Pay all applicable fees through the Platform
-
Comply with applicable laws
-
Not misrepresent the scope of services
9. Platform Fees
GuardIt may charge platform service fees, transaction fees, premium payout fees, or subscription fees. All applicable fees will be disclosed within the Platform.
CanTrust reserves the right to modify fee structures with notice.
10. Payment Processing
Payments may be processed through regulated payment services and financial institutions.
Users acknowledge that financial institutions may apply transaction limits, holds, compliance checks, or delays in accordance with regulatory requirements.
CanTrust is not responsible for independent actions taken by regulated payment providers.
11. Suspension & Termination
CanTrust may suspend or terminate accounts for:

Fraud or misrepresentation

Regulatory non-compliance
-
Breach of these Terms
-
Payment disputes
-
Misuse of the Platform
Suspension may occur without prior notice where necessary.
12. Ratings & Reviews
The Platform may include rating systems. Users agree that reviews must be truthful and based on actual interactions. CanTrust reserves the right to remove inappropriate or fraudulent content.
13. Limitation of Liability
To the maximum extent permitted by law, CanTrust Security Ltd. shall not be liable for:

Indirect, incidental, consequential, or special damages

Loss of income, revenue, contracts, or business opportunities

Business interruption
-
Acts or omissions of users
-
Actions of third-party service providers
-
Payment delays imposed by financial institutions
The Platform is provided “as is” without warranties to the fullest extent permitted by law.
14. Indemnification
Users agree to indemnify and hold harmless CanTrust Security Ltd., its officers, directors, employees, and affiliates from claims, losses, or expenses arising out of:

Breach of these Terms

Fraud or intentional misconduct
-
Violation of applicable laws or regulations

Misuse of the Platform
This indemnification does not negate or limit statutory obligations applicable to the licensed security agency under Ontario law.
15. Dispute Resolution
These Terms are governed by the laws of the Province of Ontario and the laws of Canada applicable therein.
Any legal action must be initiated in the courts of Ontario.
16. Changes to Terms
CanTrust may modify these Terms at any time. Continued use of the Platform constitutes acceptance of the revised Terms.
17. Severability
If any provision of these Terms is found unenforceable, the remaining provisions shall remain in full force and effect.
